1. Acceptance of Agreement

By accessing this website and using this service, you understand, acknowledge and agree that time is of the essence regarding any claims against All American Notice, LLC, its directors, its shareholders, its employees, its officers, and its other agents (hereinafter collectively "All American Notice") as a result of All American Notice's failure to accurately, timely and properly serve any requested Construction Notice. You agree that within five (5) days of receipt by mail or posted electronically at All American Notice's website, you shall diligently review its correctness. In the event there is any error in the Construction Notice or any document processed by All American Notice on behalf of client/customer, including the parties to whom it is sent or served, applicant shall have ten (10) days from receipt of said copy or posting electronically at All American Notice's website within which to notify All American Notice of such defect or omission, and in which to make a claim for liquidated damages but in no event, shall any claim be asserted more than one calendar year after the Construction Notice was sent or served.

2. Services Provided and Limitations

All American Notice, LLC will be liable for:

Accurately researching property ownership of specific physical address*, job name* and nature* of jobsite provided. (*see required information below)
Researching Notice of Commencement, Deed and/or Bond tied to the physical address provided if recorded in the public records at the time request is made.
Preparing appropriate construction notice form for whatever state you are working in.
Mailing out Notices timely and accurately when adequate time and accurate project information is provided as defined below.

All American Notice, LLC will not be liable for:

Incorrect research if inaccurate, incomplete, incorrect or no specific physical address of jobsite and/or inaccurate, incomplete, incorrect or no specific (official) job name adequate to describe the project is provided.
Timely and/or accurate mailing of notices when time requirements for submitting orders are not met or incorrect, inaccurate or incomplete project/jobsite information is provided by your company.
Incorrect, inaccurate or incomplete information, including job location and General/Prime Contractor provided by your company.
Incorrect, inaccurate or incomplete information provided by your customer or any third party involved in the project.
Inability to research General/Prime Contractor when no building permit and/or notice of commencement exists for project.
Incorrect, inaccurate, or incomplete information provided by any state or local government agency in the course of research.
Incorrect notice/document requested by Customer. All American Notice is not a law firm and does not provide legal advice.
Information not provided (omitted) by client that causes a document to be defective resulting in the loss of lien rights.
Lack of lien rights due to government work not protected by a payment bond.
Inability to confirm jobsite, general contractor or bonding information based on restrictions placed on All American Notice by client.
Inability to timely research, complete, mail and/or record a document when not enough time was provided by client. All American Notice requires 5 business days for non-recorded notices and 15 business days for recorded documents.
Any document that is served or filed late where the cause is entirely or in part attributable to an act of God, including but not limited to fire, hurricane, tornado, epidemic/pandemic or other natural disaster or man-made disaster.
Any delay in filing or documents that are not filed, lost or missing documents and lost or missing tracking information resulting from delays and errors of the United States Postal Service, courier, UPS, FedEx, Simplifile and/or any other delivery method.
Errors caused by the county/city recorder's office or any of the state-required registries.
The refusal of any party to accept delivery of any documents being served by US mail or sheriff.

3. Placing Orders

Orders for documents or services and cancellations must be in writing and cannot be accepted over the phone. All American Notice, LLC can receive orders through the online portal, order automation, API, spreadsheet, fax, and email to admin@allamericannotice.com. If you send orders by fax or email, you agree to check online to confirm that your order has been received and entered correctly. Orders entered by All American Notice, LLC on behalf of the client is a courtesy and not covered by All American Notice's professional liability insurance. You must notify All American Notice within 24 hours of submission of any corrections that need to be made to your order.

4. Required Information

In order to efficiently and accurately process your orders, All American Notice must be provided and requires your customer information, which must include your customer name, address, phone number, fax number and email address; specific project information, which must include the jobsite name and nature of project (adequate to describe the project you are working on and describe what is being constructed)*, jobsite address or very specific jobsite location*, materials and/or services provided, and balance due or contract value (where applicable). Failure to provide any of the required information will void the insurance coverage and All American Notice's liability for that order.

You are solely responsible for the accuracy, completeness, and legality of all information you provide to All American Notice, LLC and for your own compliance with all applicable laws, regulations, and contractual obligations.

5. Time Required to Process Orders

All American Notice cannot guarantee and shall not be liable for the timely and/or accurately mailing of preliminary notices ordered/submitted to All American Notice and/or information necessary to complete the order is provided to All American Notice with fewer than 6 business days of the due date and timely and/or accurately recording of mechanic's liens when ordered/submitted with All American Notice with fewer than 15 business days of the due date. Orders submitted after 3 PM Eastern time are considered submitted the following day.

6. Not Legal Advice

IMPORTANT: All American Notice is not a law firm or attorneys, and will not provide you legal advice and cannot represent you in court. The employees of All American Notice are not acting as an attorney when they speak with you. All American Notice does not offer attorney services. All American Notice only provides self-help services for people who already understand the law. The lien law summary, state statutes, other educational materials, charts, and deadline calculators are for educational purposes only and do not constitute legal advice.

7. Accuracy Responsibility

All American Notice is not responsible or liable for any misrepresentations, inaccuracies or omissions made by you or your company. All American Notice will process documents based the information you submit in your order to All American Notice.

8. Indemnification

You agree to defend, indemnify and hold harmless All American Notice and its agents, officers and directors, from and against any and all liabilities of any nature, which arise from All American Notice's performance of services on your behalf. For the purposes of signing and filing documents you request, you appoint All American Notice and its employees as your agent and/or your company's agent, and indemnify All American Notice, with respect to this appointment.

9. Property Research

All American Notice, LLC accesses several publicly available and private databases containing property information for property ownership research. It is understood and agreed that while these property records are usually accurate, they are not always live or up to date and may be confidential. You specifically agree that All American Notice and the third-party database are not liable for any damage caused to you by reliance on, or in any other way related to, the information contained within the property databases.

10. Late Payments

The total amount of the invoice shall be payable in full by you, the Buyer, according to the payment due date stated at invoice. Any portion of the invoice unpaid for more than thirty (30) days shall be considered overdue. All amounts past due are subject to a late charge of the lesser of one and one-half percent (1 1/2%) per month (18% per annum) or the highest lawful rate.

11. Termination of Access

You agree that All American Notice, in its sole discretion, may terminate or suspend your use of the Website, the All American Notice Online Database, Information, Services, and Content at any time and for any or no reason in its sole discretion.

12. License and Ownership

Any and all intellectual property rights ("Intellectual Property") associated with the Website and its contents (the "Content") are the sole property of All American Notice, LLC, its affiliates or third parties. The Content is protected by copyright and other laws in both the United States and other countries.

13. Limited License

All American Notice grants you a limited, personal, nontransferable, non-sub licensable, revocable license to (a) access and use only the Website, Content and Services only in the manner presented by All American Notice, and (b) access and use the All American Notice computer and network services offered within the Website.

14. Recorded Documents

All documents that are sent to you for your signature must be reviewed and approved for accuracy and correctness prior to signing and returning to All American Notice for recording and mailing. By signing the document and returning it to All American Notice, you agree and acknowledge that you have reviewed and approved the document for accuracy, correctness and timeliness.

15. Modification and Time Limit to Cancel Notices

Notices and any documents processed by All American Notice may not be canceled once marked completed on the website with the exception of Texas notices in the print queue. These may not be canceled after 5:00 AM EST the day they are due to be mailed.

16. Technology, Copyright and Intellectual Property

The online web application contains copyrighted material, trade secrets and other proprietary material. Access to this site is permitted with the express agreement that you shall not attempt to copy, modify, reverse engineer, disassemble or decompile the application. All American Notice retains sole and exclusive ownership of any and all right, title and interest in and to the online web application.

17. Website Content

The contents of all material available on this website are copyrighted by All American Notice, LLC unless otherwise indicated. All rights are reserved by All American Notice. Copyright infringement is a violation of federal law subject to criminal and civil penalties.

18. Privacy Policy

All American Notice will not sell, rent, or give away any of your information. It is our overriding privacy principle that any client information you provide to us is just that: personal and private.

19. Data Security

All American Notice takes all reasonable steps to protect our users' information from loss, misuse, and unauthorized access, disclosure, alteration, and destruction.

20. Confidentiality

You recognize that All American Notice has and will have proprietary information which is valuable, special and unique assets of All American Notice and needs to be protected from improper disclosure. A violation of this paragraph shall be a material violation of these Terms and Conditions.

21. Your Liability

If you cause a technical disruption of the site or the systems transmitting the site to you or others, you agree to be responsible for any and all civil and/or criminal penalties.

22. Unauthorized Access/Use

Unauthorized access to All American Notice's proprietary online web application is a violation of U.S. Law and All American Notice's policy, and may result in criminal or civil actions brought against you.

23. System Use and Security Monitoring

All American Notice's website is intended for communication, transmission, processing and storage of construction notices and related documents. These systems and equipment are subject to monitoring.

24. Jurisdiction

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY EXPRESSLY AGREE THAT ANY PROCEEDING ARISING OUT OF OR RELATING TO YOUR ACCESS AND USE OF THE WEBSITE SHALL BE INSTITUTED IN A STATE OR FEDERAL COURT SITTING IN THE COUNTY OF PALM BEACH, STATE OF FLORIDA, UNITED STATES OF AMERICA. YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION MUST BE FILED WITHIN SIX (6) MONTHS AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE.

25. Limitation of Liability

To the fullest extent permitted by law, the total liability, in the aggregate, of All American Notice, LLC, its officers, directors, partners and employees, to you, the Client, is limited to the value of Client's invoices protected by lien rights for the particular job/project in question. This liability shall not exceed the amount you paid to All American Notice for services during the 12 month period preceding the date the particular order was placed with a maximum limit (cap) of $1,000,000.00 per occurrence.

26. California Orders

Because there is no way to definitively trace a construction lender on a construction project, All American Notice, LLC cannot and does not warranty this information. All American Notice liability is limited on California orders to ownership information published in DataTree and Realquest at the time the order was processed.

27-33. Arbitration

It is agreed that any dispute, controversy or claim arising out of or relating in any way to performance of All American Notice's services shall be exclusively resolved by binding arbitration. Key provisions include:

Individual Arbitration: Class arbitrations and class actions are prohibited. You waive the right to a trial by jury or to participate in a class action.
Costs and Venue: You and All American Notice shall equally share the costs of Arbitration. The Arbitration shall be conducted in Palm Beach County, Florida.
Notice of Dispute: You must first send a written Notice of Dispute to All American Notice, LLC, 1732 S Congress Ave, Suite 107, Palm Springs, FL 33461.
Relief Limitation: The arbitrator may award relief only in favor of the individual party seeking relief.
Confidentiality: The arbitration proceeding will be confidential.
Timeline: The arbitration shall be concluded in 200 days or less.

34. Professional Liability Insurance

In the event that a document prepared by All American Notice is deemed defective by a court of competent jurisdiction resulting in the loss of your lien right due exclusively to the negligence of All American Notice, an insurance claim may be filed. Restricting All American Notice's research process in any way will void your insurance coverage.

35. Force Majeure

No Party shall be liable for any failure or delay in fulfilling or performing any term of this Agreement, when and to the extent such failure or delay is caused by acts beyond the affected Party's reasonable control, including acts of God, flood, hurricane, fire, war, invasion, riot, or national emergency.

36. General

You may not assign these Terms and Conditions or any of your interests, rights or obligations under these Terms and Conditions. If any provision is found to be invalid, the invalidity shall not affect the validity of the remaining provisions.

37. Written Document

You may preserve these Terms and Conditions in written form by printing them for your records.

38. Complete Agreement

EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND ALL AMERICAN NOTICE, THESE TERMS AND CONDITIONS CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND ALL AMERICAN NOTICE WITH RESPECT TO THE USE OF THE WEBSITE.

39. Modifications

All American Notice may revise and update these Terms of Use at any time. Your continued usage of the Website after any changes will mean you accept those changes.

40. Electronic Signatures

Under the Electronic Signatures in Global and National Commerce Act (E-Sign), this Agreement and all electronically executed documents related hereto are legally binding in the same manner as are hard copy documents executed by hand signature. By pressing "Submit", "Accept" or "I Agree", you agree: (i) that the Agreement and related documents shall be effective by electronic means, (ii) to be bound by the terms and conditions of this Agreement and related documents, and (iii) that you have had the ability to print or otherwise store the Agreement and related documents.
